These Terms of Service ("Terms") govern your use of naviira.io (the "Site") and the Naviira platform and managed services (together, the "Services"), operated by Naviira ("we", "us"). By using the Site or Services you agree to these Terms.
1. The Services
Naviira provides software for managing LinkedIn outreach at scale, including campaign automation, a unified inbox, AI-assisted reply handling, and analytics, plus an optional managed ("Done-For-You") service. Feature availability depends on your plan.
2. Accounts and eligibility
You must be at least 18 and using the Services for business purposes. You are responsible for the accuracy of your account information and for keeping credentials confidential. You are responsible for activity under your account.
3. Third-party platforms
Naviira is not affiliated with, endorsed by, or sponsored by LinkedIn Corporation. You are responsible for your own compliance with the terms, policies, and limits of LinkedIn and any other third-party platform you connect. Automation of third-party platforms carries inherent risk, including account restrictions; Naviira enforces pacing and volume guardrails but does not and cannot guarantee that restrictions will never occur. You connect accounts at your own risk.
4. Acceptable use
- No unlawful, deceptive, or fraudulent activity, including misrepresentation of identity;
- No spam as defined by applicable law, and no outreach that violates anti-spam or privacy laws applicable to you and your recipients;
- No harassment, discriminatory targeting, or abusive content;
- No attempts to probe, disrupt, or reverse-engineer the Services;
- No reselling of the Services except under an Agency plan's whitelabel terms or a separate written agreement.
We may suspend or terminate accounts that violate this section.
5. Plans, billing, and cancellation
- Subscriptions bill monthly or annually in advance at the prices shown on the pricing page at the time of purchase.
- Third-party costs (for example LinkedIn Sales Navigator subscriptions) are separate and paid by you directly to the third party.
- Upgrades apply immediately with prorated billing; downgrades apply at the next billing cycle.
- Cancellation: you may cancel at any time from Settings. Monthly plans stop renewing at the end of the current cycle. Annual plans stop renewing at the end of the annual term.
- Refunds: fees already paid are non-refundable except where required by law or expressly agreed in writing. If we materially fail to provide the Services and cannot remedy the failure within a reasonable period, you may request a pro-rata refund of the unused portion.
6. Done-For-You engagements
Managed engagements are accepted by application, scoped in a written proposal, and carry a three-month minimum term unless otherwise agreed. Outcome figures discussed during scoping are targets, not guarantees; outbound results depend on factors outside any provider's control, including your offer and market.
7. Your data
You retain all rights to the data you import into the Services. You grant us the limited rights needed to operate the Services on your behalf. Data handling is described in our Privacy Policy; a Data Processing Agreement is available to customers on request. You can export your data as CSV at any time.
8. Intellectual property
The Services, including software, design, and content on the Site, are owned by Naviira or its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription. Feedback you provide may be used to improve the Services without obligation.
9. Disclaimers
The Services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, specific sending volumes, reply rates, or business outcomes.
10. Limitation of liability
To the fullest extent permitted by law, Naviira will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, or for third-party platform actions (including account restrictions). Our total aggregate liability for all claims in any twelve-month period is limited to the amounts you paid us for the Services in that period.
11. Indemnity
You will indemnify Naviira against claims arising from your content, your outreach targets and messaging, or your breach of these Terms or applicable law.
12. Termination
You may stop using the Services at any time. We may suspend or terminate the Services for material breach that remains uncured after notice, or immediately for violations of Section 4. Sections that by their nature should survive (7–11, 13) survive termination.
13. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-law rules. The courts of Mumbai, India have exclusive jurisdiction, and both parties will first attempt in good faith to resolve any dispute informally within 30 days.
14. Changes
We may update these Terms from time to time. Material changes will be announced on the Site or by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
